Terms and Conditions for Business-to-Business Transactions
1. Introduction
1.1 These Terms and Conditions ("Terms") apply to all business-to-business (B2B) transactions conducted between Reinforced Beds ("Supplier") and its customers ("Customer") in the sale and supply of beds and related products ("Products").
1.2 By placing an order with the Supplier, the Customer agrees to be bound by these Terms.
2. Orders
2.1 Orders must be placed in writing or through the Supplier's online ordering system.
2.2 All orders are subject to acceptance by the Supplier. The Supplier reserves the right to reject any order for any reason.
3. Prices
3.1 Prices for Products are as specified in the Supplier's price list / website at the time of the order.
3.2 All prices are exclusive of taxes, duties, and shipping costs unless otherwise stated.
3.3 The Supplier reserves the right to change prices without prior notice.
4. Payment Terms
4.1 Payment terms are as agreed upon in the Customer’s account setup, and may include advance payment, net 30 days, or other terms as specified.
4.2 Late payments may incur interest at the rate of 8% per month, or the maximum rate permitted by law, whichever is lower.
4.3 The Supplier reserves the right to withhold further deliveries until all outstanding invoices are settled.
5. Delivery
5.1 Delivery dates are estimates only and the Supplier is not liable for any delays.
5.2 Risk of loss or damage to the Products passes to the Customer upon delivery.
5.3 The Customer must inspect the Products upon delivery and notify the Supplier of any damages or shortages within 14 days.
6. Returns and Cancellations
6.1 Returns of Products are subject to the Supplier's return policy, which may include collection / restocking fees.
6.2 Customized or special order Products are non-returnable.
6.3 Orders may be cancelled only with the Supplier's written consent and may be subject to cancellation fees.
7. Guarantee
7.1 The Supplier warrants that the Products will be free from defects in material and workmanship for a period set on each individual product page from the date of delivery.
7.2 The Supplier's liability under this guarantee is limited to the repair or replacement of the defective Products.
7.3 This warranty does not cover damages caused by misuse, neglect, or unauthorized modifications.
8. Limitation of Liability
8.1 The Supplier’s liability for any claim arising out of or relating to these Terms or the supply of Products shall not exceed the price paid by the Customer for the Products giving rise to the claim.
8.2 In no event shall the Supplier be liable for any indirect, incidental, or consequential damages, including loss of profits or business interruption.
9. Intellectual Property
9.1 All intellectual property rights in the Products and any related documentation or materials provided by the Supplier remain the property of the Supplier.
9.2 The Customer shall not use the Supplier's trademarks, trade names, or other intellectual property without the Supplier's prior written consent.
10. Confidentiality
10.1 The Customer agrees to keep confidential all information disclosed by the Supplier that is designated as confidential or would reasonably be understood to be confidential.
10.2 This obligation of confidentiality does not apply to information that is publicly known, already known to the Customer, or disclosed by a third party without breach of any obligation of confidentiality.
11. Governing Law and Jurisdiction
11.1 These Terms are governed by and construed in accordance with the laws of [insert jurisdiction].
11.2 Any disputes arising out of or in connection with these Terms shall be resolved in the courts of [insert jurisdiction].
12. Miscellaneous
12.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.2 The failure of the Supplier to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
12.3 These Terms constitute the entire agreement between the Supplier and the Customer regarding the subject matter hereof and supersede all prior agreements and understandings.
